Company structures and corporate governance
Knowledge of the fundamental principles of company law and the various corporate structures is indispensable if you want to find the corporate structure that suits you – and to change it again if need be. You will be familiarised with the differences between individual corporate structures, you will be able to distinguish between them, be aware of their advantages and consequences, and be in a position to answer questions concerning liability and funding. The module aims to find the optimal positioning of a company vis-à-vis its various stakeholders, also from the perspective of company law.
Diligent corporate management also calls for a professional organisation of the interaction between the board of directors and the executive board. So-called corporate governance is increasingly in the public limelight and is also focused on by the media. Executives must be aware of the pitfalls in order to be able to prevent financial and, above all, reputational damage to the company and to avoid possible private liability cases. Participants in this module will learn the rules and measures with which the behaviour of top management can be controlled and monitored. They will understand what a Governance Risk Compliance (GRC) system is and why corporate governance is also relevant to SMEs. Furthermore, this module will also shed light on the general legal conditions and the development and significance of corporate governance in detail.

Fees
CHF 4,600
Course fees include materials, break refreshments and lunch. Participants must pay the additional costs for other meals, travel and accommodation.
