Growth, new ownership structures, and strategic realignments regularly present companies with complex legal, tax, and economic challenges. This module teaches you the essential fundamentals of restructuring and M&A transactions, including company acquisitions and sales, mergers, spin-offs, and takeovers. You will gain an understanding of the entire transaction process—from the confidentiality agreement and letter of intent through due diligence to the signing of the contract and closing. In the process, you will learn how legal, tax, and economic aspects interplay and the importance of contract drafting, financing structure, and tax planning for the success of a transaction. You will develop an understanding of how risks can be identified early on, assessed, and addressed in contracts. This will enable you to provide informed support for transactions, contribute competently to decision-making, and communicate on an equal footing with experts.
