A company sale and restructuring are associated with legal challenges. It is not only the time before the signing of the contract that is important, but also the time afterwards (post-merger integration). Understanding the process of such transactions will help you to prepare better. In this module you will learn to distinguish between the possible options of a company acquisition and the special regulations for listed companies. And in order to determine the optimal purchase price of the company, you will be introduced to the most important principles of company valuation.
When determining the price, the tax consequences in particular must also be taken into account. The Swiss tax system is complex and difficult for laypersons to grasp in all its facets. For groups and internationally active companies, careful tax planning is essential to optimise the tax burden. However, this also applies to SMEs. In the module, you will therefore deal with the various state tax forms and the basic features of profit taxation, as well as the principles for determining intra-group transfer prices. You will also deal with the tax aspects of setting up and selling a company.
